§1 Definition

1. These terms and conditions ("terms of service", "TOS") apply to JadeShip.com and it's subdomains, in the following called "JadeShip", "CHWD", "our network, "we", "our", "us", "the provider". All of these TOS apply to all of our sites in our network unless specifically limited in a clause.
2. These TOS also apply to all of our social media pages and groups, such as our Discord Server (id: 414835256185847808), our Twitter Accounts (@JadeShipCom, @repladies, @toylinkscom, @hwsourcecom, @alitackle).

§4 Advertisements

1. To finance our network's operation, CHWD uses affiliate links. This is seen as a form of advertisement and flagged as such.
2. Affiliate links are generated automatically and we are not liable for the content of the external pages linked.
3. You should assume that all links to the following domains are affiliate links and consider them as such: aliexpress.com, wise.com, chezpierre.rs and the so called "agent links": pandabuy.com, wegobuy.com, superbuy.com, hagobuy.com, sugargoo.com, cssbuy.com, basetao.com, kameymall.com, cnfans.com, ezbuycn.com, hoobuy.com and allchinabuy.com.
4. Agent links are advertisements for the creation of an account only. We only profit from the creation of accounts. If an affiliate link points to a product, that product is not endorsed, it is not sold by CHWD, it's not part of the affiliates program and we do not get any commission or endorse the sale.
5. Additionally, we provide links that reward you with discount coupons after signing up. The value of those coupons is subject to change, especially due to fluctuating exchange rates. The amount advertised is based on the exchange rate from April 12, 2018 and the combined value of the coupons. These coupons / discounts are not provided by CHWD and cannot be demanded through legal action. There is no right of appeal.
6. We might present you with the opportunity to sign up for a mail list. Your data is protected according to our Privacy Policy.

§5 Copyright, intellectual property and liability

1. By submitting an image you permit us the use of that image.
2. Fair use permits the use of your images for reviews on our website without further notice. If you find your review pictures and do not want them published here send us a mail to click to show and we will take it down immediately. In our discretion we make sure we have permission to use all images featured on our site.
3. In the past scammers tried to abuse the review function to share malware links. We are not liable for any damages from clicking those links. We do our best to remove those comments.
4. Any username and password you may have for this website are confidential and you must maintain confidentiality as well.
5. CHWD is not liable for content of external pages we link to on our network. We do our best to frequently control and update those links, but we cannot guarantee that the content does not change, so we strictly distance ourselves from legally or ideologically representing any external sites.

§6 Restrictions

1. Other than the content you own, under these Terms, CHWD and/or its licensors owns all the intellectual property rights and materials contained in this website.
2. You are granted limited license only for purposes of viewing the material contained on our network.
3. You are restricted from the following:
1. publishing any of our network material in any other media.
2. selling, sublicensing and/or otherwise commercializing any network material.
3. publicly performing and/or showing any Website material.
4. using our network in any way that is or may be damaging to our network.
5. using our network in any way that impacts user access to our network.
6. using our network contrary to applicable laws and regulations, or in any way may cause harm to the Website, or to any person or business entity.
7. engaging in any data mining, data harvesting, data extracting or any other similar activity on our network.
8. using our network for your advertising or marketing.
9. Certain areas of this network are restricted from being access by you and CHWD may further restrict access by you to any areas of our network, at any time, in absolute discretion.
10. We do not take responsibility for translate versions of our pages, whether you use our automatic translations or a translation tool of your choice.

§9 User accounts

1. We reserve the right to terminate or freeze any user account at any time at our own discretion.

3. Creating additional accounts to circumenvent limitations is considered abuse and will lead to termination of your accounts.

§10 Premium Account Subscription (JadeShip Plus)

§10.1 Right of Withdrawal

1. You have a right to withdraw from your purchase of a premium account, according to our refund policy.

§10.2 Subject

1. as a subscriber, we provide you with exclusive features and unlimited access to specific services.
2. The specific perks of your membership are listed on the Plus page and are subject to change.
3. premium accounts are provided on a best effort basis, "as is". There is no guaranteed uptime (SLA).

§10.3 Special Refunds

1. We are confident that the value we provide with a plus membership will only grow in the future. That's why we guarantee: If any perks are cut from the membership or reduced in any way, you can cancel your membership (even annual memberships) at any time (within 30 days of the changes) and receive a refund according to our Special Refund Policy.
2. this does not apply to temporary limitations, put in place to prevent attacks on our network.

§10.4 Cancellation

1. if you cancel your account, future payments are stopped, but you can keep using the features until your membership period ends.
2. If your account is terminated by us for any reason, we will refund you for the remainder of your subscription, according to our Special Refund Policy.

§10.5 Upgrade

1. You may upgrade your account membership to a higher level at any time
2. If you upgrade from one premium tier to another, your current membership is credited as a discount.

§10.6 Downgrade

1. A membership downgrade may be performed by cancelling your current membership, waiting for the membership period to end and then resubscribing to the lower membership level.

§10.7 Balance (Credit)

1. Under some circumstances, you may get a credit added to your account balance. This credit cannot be paid out.
2. This clause does not apply to legal refunds. Legal refunds will be paid out according to our refund policy

§10.8 Subscription Payments

Subscription payments are handled securely by our online reseller, Paddle.com. By subscribing to our premium plan, you agree toPaddle.com's terms and conditions. Paddle.com is the Merchant of Record for all orders, providing customer service inquiries and handling returns. Please review Paddle.com's terms before making a subscription payment.

§10.9 Limitations

1. Account sharing is not allowed
2. Sharing premium account exclusive content through recordings, screenshots or other means is prohibited and breaking the copyright of JadeShip. All rights reserved.
3. If you make use of our personal priority support, this counts as fulfillment of our contractual duties. This means that you can't withdraw from the contract afterwards. This is meant to make sure we can work on improving the service and aren't held up by trolls.
4. priority support is provided on a best effort basis with no service level agreement or guaranteed response times.

§11 Giveaways

1. Giveaways are voluntary. There is no right of appeal.
2. Giveaways can be taken down or changed at any time.
3. Items are "as is". This means there is no replacement if the item is damaged or not what you expected. Please ask before participating.
4. Any complications during the shipping process are to be solved by the receiving party, not CHWD. This includes tolls and taxes. If the item cannot be delivered due to shipping service restrictions, you have to forfeit any wins, but we will try to find an alternative for you.
5. For the sake of sustainability and to make people happy, we ask all participants to only participate if they truly want the object that's being given away, it fits and they have a use for it.
6. Giveaway items only delivered while stock lasts. An online giveaway advertisement does not guarantee that there are still items in stock.
7. If the giveaway lets the winner choose an item, it's under the discretion of CHWD to deny the item for moral reasons.
8. sometimes, we let third parties host giveaways on our network. Sadly we cannot take any responsibility for the fulfillment of those giveaways.
9. CHWD Administrators are excluded from participating in giveaways.
10. If you win and don't reply and provide us with the necessary information within 3 days after contacting you we reserve the right to terminate the giveaway and you forfeit any wins.

§12 Governing Law & Jurisdiction

1. These Terms will be governed by and interpreted in accordance with the laws of the Country of the Federal Republic of Germany, more specific the courts of the address of CHWD, mentioned above.
2. You submit to the non-exclusive jurisdiction of the state and federal courts located in Germany for the resolution of any disputes.
3. If the customer is an entrepreneur, German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
4. If the customer is a merchant in the sense of the "Handelsgesetzbuches", a legal entity of public law, or a special fund under public law, Munich shall be the exclusive place of jurisdiction for all disputes arising from contractual relationships between the provider and the customer.

§13 Severability

1. If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.
